Investors: Individual and venture investors provide a large fraction of the capital that brings new technology to the stage of commercialization. In the United States, more than half of the engineers and scientists are employed by small business as defined by the Small Business Administration. These early stage growth opportunities can provide a significant return on investment. Early stage investment is risky. Therefore, we only accept accredited investors for our investment opportunities.
The federal securities laws define the term accredited investor for both organizations and individuals in Rule 501 of Regulation D. For individuals, the term covers any of the following:
- a director, executive officer, or general partner of the company selling the securities;
- a natural person who has individual net worth, or joint net worth with the person’s spouse, that exceeds $1 million at the time of the purchase; or
- a natural person with income exceeding $200,000 in each of the two most recent years or joint income with a spouse exceeding $300,000 for those years and a reasonable expectation of the same income level in the current year.
There are additional rules and regulations that vary by state.
